Terms of Service

Terms scope: The clauses below apply to SeaLink accounts, API Keys, usage, balance, billing, model connections, and model calls.

1. Service

SeaLink is an AI API service operated by Sealink Intelligence Pte. Ltd. (UEN: 202623763G) in Singapore, registered at 3 PHILLIP STREET, #09-02, ROYAL GROUP BUILDING, SINGAPORE.

2. Account

You are responsible for safeguarding your API Key and login credentials. Any usage made through your key is billed to your account.

3. Acceptable use

You shall not use SeaLink for activities that violate Singapore law or applicable laws in your jurisdiction, including unlawful content generation, spam, unauthorized data scraping, circumvention of platform or model usage rules, sanctions evasion, export-control violations, anti-money-laundering evasion, or any other compliance-obligation circumvention.

4. Pricing & billing

Service is billed per published pricing (/pricing). Prices may change; material changes are notified 14 days in advance via email or on the website. Continued use constitutes acceptance.

5. Refund

Top-ups are non-refundable; neither unused balance nor consumed usage is refundable. See Refund Policy for full terms.

6. Warranty disclaimer

The service is provided "AS IS" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. SeaLink does not warrant that the service will be uninterrupted, error-free, or completely secure. You use the service at your own risk.

7. Limitation of liability

To the maximum extent permitted by law, SeaLink shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of profits, data loss, or business interruption. SeaLink's total liability for any claim shall not exceed the amount you paid in the three months preceding the event giving rise to the claim. SeaLink is not liable for model capability, price, or policy updates.

8. Indemnification

You agree to indemnify and hold harmless SeaLink, its affiliates, officers, and employees from any third-party claim, damage, or expense (including reasonable legal fees) arising from: (a) your use of the service in violation of these terms or applicable law; (b) content you submit, generate, or transmit through the service that infringes third-party rights; (c) misuse of your API Key due to your failure to safeguard it.

9. Suspension & termination

SeaLink may suspend or terminate your account and service access if: (a) you violate these terms or the Acceptable Use Policy; (b) your account balance is negative or payment fails; (c) fraud, money laundering, or illegal activity is suspected; (d) required by law or regulation. Upon termination, unused balance is handled per the Refund Policy. Consumed tokens are non-refundable.

10. Governing law & dispute resolution

These terms are governed by the laws of Singapore. Parties shall first attempt to resolve disputes amicably. If unresolved, claims up to S$20,000 shall be submitted to the Small Claims Tribunals (SCT) of Singapore; claims exceeding this amount shall be submitted to the Singapore International Arbitration Centre (SIAC) for arbitration in accordance with its rules. The seat of arbitration is Singapore and the language is English.

11. Changes to terms

SeaLink reserves the right to modify these terms. Material changes are notified via email or on the website at least 14 days before they take effect. Continued use after 14 days constitutes acceptance. If you disagree, you may terminate before the effective date; neither topped-up balance nor consumed usage is refundable.

12. Severability

If any part of these terms is held invalid or unenforceable by a court or arbitral tribunal of competent jurisdiction, the remaining provisions shall continue in full force. The invalid provision shall be modified to the extent permitted by law to reflect the original intent as closely as possible.

13. Entire agreement

These terms, together with the Privacy Policy, Refund Policy, and Acceptable Use Policy, constitute the entire agreement between you and SeaLink, superseding all prior communications. A separately executed written agreement with enterprise clients takes precedence over these terms.
